Therapist Marketplace offers an open platform for therapists and creators to discover, buy, sell and share their original content for therapy, practice administration and client care by creating works ("Resources"). Resources may include electriconically delivered files, digital products, streaming video, audio, physical goods and other product types. Therapist Marketplace may modify, add, discontinue or limit the availability of any product type.
Users of Therapist Marketplace include members who have registered for a Therapist Marketplace account and visitors who browse the site without registering for an account. By using our site, you agree to the Privacy Policy, Copyright and Trademark Policy, Community Guidelines, and Becoming a Contributor.

Membership
In order to access and utilize Therapist Marketplace, you may be asked to become a member. Individuals who are 18 year or older are eligible to join as a member. By registering for membership or an account, you represent and warrant that you are at least 18 years old.
When you create an account, the information you provide needs to be accurate and true. Do not provide falsified or fake information. Do not provide information that violates someone else's rights and do not impersonate someone else. Your account may be closed or suspended if these requirements are violated.
You can join Therapist Marketplace as a Buyer. As a buyer, you will be able to make purchases, download resources, post feedback and comments, and enjoy other features offered by Therapist Marketplace. When you purchase resources, you will be charged in US Dollars and are responsible for paying any amounts due, including any applicable shipping and taxes. By placing an order on Therapist Marketplace, you acknowledge and warrant that the billing information you have provided is accurate. Therapist Marketplace will calculate, collect and remit applicable sales tax, which will be estimated at checkout.
You can join Therapist Marketplace as a Contributor (or Seller). It is free to join as a contributor. Transaction fees (credit card processing) are however charged. As a contributor, you are able to offer and sell resources. Resources are your own authored/created works. The payout rate is determined as the percentage of the sale price you earn for each resource you sell through Therapist Marketplace, before any transaction fees or shipping charges are applied. The remaining amount of the sale price is retained by Therapist Marketplace as a service fee. We may, in our discretion, make changes to the memberships offered through us. Any changes in fee or payout rates will be disclosed to contributors through the email address associated with the account.
Becoming a member of Therapist Marketplace does not create an agency, employment or partnership relationship between you and us. Therapist Marketplace is not the employer of and does not act as an agent for any member.
Therapist Marketplace, at its discretion, may close or suspend the account of any member, at any time, for any reason, with or without notice.
You have the right to close your Therapist Marketplace account at any time, without notice to us. After your account is closed, you will no longer have access to your Contributor/Seller dashboard, past purchases and many of the other features provided by Therapist Marketplace.
Resource Rights
Therapist Marketplace contributors/sellers own and maintain the intellectual property rights of their resources. Contributors/sellers grant individual buyers access to utilize this resource accordingly. Sharing and distributing of a purchased resource is prohibited by buyers. The Contributor/Seller grants to the purchasing buyer, a license for use by one assignee, a non-exclusive, perpetual, irrevocable, non-transferable, non-sub licensable, worldwide, limited license to use the resource for their purposes and under license conditions.
An individual license purchase allows the buyer:
- to assign the resource to one assignee. Once designated, it cannot be used by another individual or any other individual. Additional purchases can however be made.
- the resource may be used for personal, psychoeducational, therapeutic process, or administrative purposes.
- print and make copies as necessary for personal use.
Buyers may not:
- use the resource, in part or in whole, for commercial purposes. This means it cannot be resold, used for advertising or marketing purposes (unless otherwise indicated by the seller).
- make the resource available on any website, application, shared drive or other services.
- share, sell, send, sublicenses or transfer the resource to someone else for their own personal use unless you purchase an additional license for each additional person it will be shared with.
Terms and Conditions of Use
If you want to view or use therapistmarketplace.com, you must agree to conform to and be legally bound by the terms and conditions described below. If you disagree with any of these terms or conditions, do not use our website.

Contributor Content
Contributors retain all intellectual property rights of content uploaded and sold on Therapist Marketplace. When you post or upload content to our site, you grant Therapist Marketplace limited rights to store, use, display and provide access to the content you post as necessary to provide our services, including digital services, such as to display your resource in your store and in search results, to make your resources available for download and to display and promote your resources through our services, through email and ads on other sites or search engines, and through other marketing campaigns. Mobile Apps
We may provide you with services via a computer program designed to run on smartphones, tablet computers, or other mobile electronic devices (a “Mobile App”). You agree that therapist marketplace (including its employees, officers, directors, agents, and affiliates) shall not be liable to you for any direct, indirect, incidental, special, consequential or exemplary damages, including, but not limited to, damages for loss of profits, goodwill, reputation, use, data, or other intangible losses, resulting from: (i) the access to, use, or the inability to access or use the service; (ii) the cost of procurement of substitute goods and services resulting from any goods, data, information, or services purchased or obtained or messages received or transactions entered into through or from the service; (iii) unauthorized access to or alteration of your transmissions or data; (iv) statements or conduct of any third party on the service; or (v) any other matter relating to the service.
Some states or other jurisdictions do not allow the exclusion or limitation of liability for incidental or consequential damages, so the above limitations and exclusions may not apply to you. Therapist marketplace’s liability to you or any third party shall be limited to (a) the total amounts paid by you to therapist marketplace during the twelve (12) months prior to the claim or action allegedly giving rise to such liability, or (b) one hundred dollars ($100.00 USD), whichever is the lesser amount.
Disputes with Therapist Marketplace
In the case of a dispute between you and Therapist Marketplace arising out of these Terms or your use of our Services, the following rules will apply. PLEASE READ THIS SECTION CAREFULLY – IT MAY SIGNIFICANTLY AFFECT YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY HEAR YOUR CLAIMS.
Binding Arbitration. You and Therapist Marketplace agree that any dispute arising out of or relating to these Terms or your use of our Services will be settled through binding arbitration, conducted by the American Arbitration Association (AAA) and in accordance with their Commercial Arbitration Rules. Your responsibility to pay any filing, administrative, or arbitrator fees will be solely as set forth in the AAA rules. To the extent permitted under AAA rules, the arbitrator may award costs, fees, and expenses, including reasonable attorney’s fees, to the prevailing party. A decision reached by arbitration will be final and binding and may be entered as a judgment by any court having jurisdiction. You understand that there is no judge or jury in arbitration, and that other procedural rights such as discovery and appeal are not available in an arbitration. YOU AND THERAPIST MARKETPLACE EACH KNOWINGLY AND VOLUNTARILY AGREE TO WAIVE YOUR RESPECTIVE RIGHTS TO A TRIAL BY JUDGE OR JURY AND TO HAVE YOUR CASE HEARD IN A COURT OF LAW.
Disputes will be settled on an individual basis. YOU AND THERAPIST MARKETPLACE EACH KNOWINGLY AND VOLUNTARILY AGREE TO WAIVE THE RIGHT TO BRING OR PARTICIPATE IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION OR ARBITRATION. Notwithstanding this clause, each party may seek injunctive or other equitable relief in a court of competent jurisdiction in San Diego County to protect the party’s intellectual property rights pending completion of the arbitration.
Governing Law. These Terms are governed by the laws of the state of California, and the laws of the United States of America without regard to principles of conflict of law, and regardless of where you are located in the world.
Venue. Therapist Marketplace is located in California, with our headquarters in San Diego. Any dispute subject to Binding Arbitration will take place in San Diego County, California. For any other judicial action that may arise between you and Therapist Marketplace, or for which our Binding Arbitration clause is found not to apply, both you and Therapist Marketplace agree to submit to the venue and personal jurisdiction of the state and federal courts located in San Diego County, California.
Any failure by Therapist Marketplace to enforce any right or provision of these Terms does not constitute a waiver of that right or provision and will not limit our right to act or enforce these Terms against subsequent or similar breachers.
If any part of these Terms is deemed invalid, unenforceable or illegal, that part which is unenforceable is severed from the Terms, and will have no impact on the enforceability of the remainder of these Terms.
Cyber-Bullying and Internet Harassment
Cyber-bullying and Internet harassment are prohibited. Although we support First Amendment free speech rights, such rights are limited where the purpose or effect of the expression is to bully, harass, threaten, ridicule, embarrass, and/or intimidate others. This is particularly true in matters involving race, ethnicity, national origin, religion, gender, sex, sexual orientation, physical disability, and/or mental condition.
If we decide, in our sole discretion, that you have committed cyber-bullying acts or Internet harassment, we reserve the right to unilaterally suspend or ban your use of our Website immediately with or without notice to you. Compliance With Governing Law And Dispute Resolution

All claims must arbitrated on an individual basis, and cannot be consolidated in any arbitration with any claim or controversy of anyone else. All arbitration must occur in San Diego, California, USA. Each party shall bear one half of the arbitration fees and costs incurred, and each party is responsible for its own lawyer fees.
Electronic Communications Policy
We hate unsolicited commercial email (“UCE”) as much as you do. Also known as spam or junk email, UCE is a disservice to the Internet community.

The Contributor recommends products and services on therapistmarketplace.com based in part on a good faith belief that the purchase of such products or services will help purchasers in general. The Contributor has this good faith belief because (a) the Contributor has tried the product or service mentioned prior to recommending it or (b) the Contributor has researched the reputation of the Provider and has made the decision to recommend the Provider’s products or services based on the Provider’s history of providing these or other products or services. The representations made by the Contributor about products and services reflect the Contributor’s honest opinion based upon the facts known to the Contributer at the time a product or service is mentioned on therapistmarketplace.com, in social media, and/or email communications.
Potential Bias and Due Diligence
The Contributor’s opinion about a product or service may be partially formed (consciously or subconsciously) in part based on the fact that the Contributor has been, may be, or will be compensated because of the Contributor’s business relationships with the Providers.
In some instances, the Contributor and a Provider will have a business or personal relationship that does not involve the Contributor receiving compensation related to products and services mentioned on themakingofmoms.com. However, the nature of the relationship is sufficient to establish a material connection between the Contributor and the Provider.

Payment, Marketplace Earnings and Payouts
1. Refund Policy
When you list a resource or make a resource purchase on Therapist Marketplace, you agree to our refund policy. All sales are considered final and nonrefundable once an order is submitted. We may, in our sole discretion, modify this policy on a case by case basis, issue a refund for a reason that falls outside of the Refund Policy.
2. Payment Methods
We offer a variety of methods for buyers to pay for purchases, including credit card, debit card, and PayPal. Payments are processed and accepted in US dollars.
3. Therapist Marketplace Earnings and Payouts
For each sale through Therapist Marketplace, the contributor/seller earns the applicable marketplace payout rate. Marketplace earnings are reduced by the full amount of transaction fees and shipping fees that apply. Earnings are paid out 7 days after the date of sale.
To issue payouts, Therapist Marketplace transfers funds between us and our contributors/sellers. To receive payouts, contributors/sellers must have a PayPal account capable of receiving these payments, which will be setup through the contributor/seller dashboard.
4. Sales Tax
By operating as a contributor/seller on Therapist Marketplace, you agree to:
